KELLEY BLUE BOOK LICENSE AGREEMENT for KBB.com Editorial Reviews or Article Quotes

Kelley Blue Book (“KBB”) grants you and your advertising and/or marketing firms (“Authorized Users”), a non-exclusive, non-transferable, limited, royalty free license to use the requested quote (“Quote”) from an editorial review or article on KBB.com and the following Kelley Blue Book trademarks: Kelley Blue Book’s KBB.com logos, including “KBB.com” and “Kelley Blue Book” (the “KBB Marks”) solely to promote the Quote in print, radio, television or online advertising, and Manufacturer’s promotional materials. Additional restrictions for each medium are outlined below.

Except as specifically set forth in this Agreement, Authorized Users shall make no other use of the Quote or the KBB Marks, without the prior written consent of KBB, which shall be at KBB’s sole and absolute discretion, and no other license or right is hereby granted or shall be deemed granted. Restricted uses of the KBB Marks include, but are not limited to, use in any advertising creative, search engine marketing campaign (e.g., Google AdWords) or site optimization activities (e.g., within page meta data, meta tags, Web page titles, URLs, or sub-domain URLs).

Prior to use of the Quote, Authorized Users agree to submit to KBB screenshots of and hyperlinks to the Quote on KBB.com, and the proposed usage for the Quote, for review and approval. The Quote cannot be modified or edited and may not be used in such a way as to misrepresent the intention of the author.

Authorized Users shall cite the title of the editorial review or article on KBB.com as the source of the Quote.

The KBB Marks are and shall remain the exclusive property of Kelley Blue Book. Authorized Users are not granted any right, title or interest in the KBB Marks, except rights to use the KBB Marks as provided hereunder or in a separate written agreement between the Authorized User(s) and KBB. All rights and goodwill associated with Authorized Users’ use of the KBB Marks will inure to the benefit of KBB.

Authorized Users shall at all times observe high standards of quality in the production and provision of the goods and services with which the KBB Marks are used. Authorized Users shall use the KBB Marks in the same manner and quality as provided below and shall not be redrawn, re-colored, distorted, altered or disparaged at any time. The KBB Marks shall be displayed more prominently than any third party logo and/or accolade. KBB shall have the right to promulgate from time to time such additional and/or revised guidelines and requirements with respect to use by Authorized Users of the KBB Marks as KBB may reasonably determine are necessary or useful in maintaining the quality and value of the KBB Marks. KBB may modify these guidelines from time to time and Authorized Users agree to comply with the material contained in the updated guidelines immediately upon receipt of, or posting of the new guidelines.

The KBB Marks may not be presented or used: (a) in a manner that suggests that editorial content has been authored by, or represents the views or opinions of, KBB or any KBB representative, agent, personnel or affiliate; (b) in a manner that is misleading, defamatory, libelous, obscene, infringing or otherwise objectionable; (c) in connection with any material that infringes the trademark, copyright or any other rights of any third party; (d) as part of a name of a product or service of a company other than KBB; or (e) in a manner that infringes, derogates, dilutes, or impairs the rights of KBB in such trademark or logo.

Authorized Users may make NO representation or warranty regarding KBB, its products and/or services.

Authorized Users may not register in any jurisdiction, domestic or foreign, any trademarks, logos or trade names that are identical to, confusingly similar with, or incorporate any KBB Marks, taglines, slogans, logos or trade names used by KBB.

KBB may terminate use of KBB Marks by Authorized Users at any time, for any reason, with or without cause, and Authorized Users shall immediately cease all use of the KBB Marks.

Additional Requirements

  • Authorized Users shall refer to Kelley Blue Book and KBB.com as: “Kelley Blue Book’s KBB.com.” Attribution should clearly be made to “Kelley Blue Book’s KBB.com” adjacent to the quote.
  • NOTE: Make sure Kelley is spelled with an “ey”
  • The Web address www.kbb.com can NEVER be used without the name of the company
  • If a tag line or descriptor is needed, Kelley Blue Book is to be referred to as “The Trusted Resource®”

Use of Disclaimer:

Print

  • Disclaimer (identified above) must be included in the super
  • KBB logos should be in line with the size of the accompanying text and in proportion to the size of the ad, but can NEVER be smaller than ¼ inch and no larger than four inches

Television

  • Disclaimer must be included in the super
  • KBB Logos can NEVER be smaller than one inch in height

Online

  • Disclaimer must be included in the super
  • KBB logos should be in line with the size of the accompanying text and in proportion to the size of the ad, but can NEVER be smaller than ¼ inch and no larger than four inches

Radio

  • Disclaimer must be included in the closing disclaimer

Social Media Use Requirements:

  • No use of any Kelley Blue Book logos is permitted on any social media.
  • Prior approval is required for all social media posts; Disclaimer is not required.
  • You must also post in accordance with the posted guidelines/rules for each site.

Facebook Requirements

  • Must always tag @KelleyBlueBook in the post

Twitter Requirements

  • Must always reference @KelleyBlueBook in the tweet

Google Plus Requirements

  • Posts must reference +KBB in the post

Approval Process

All materials that include the Kelley Blue Book name and logos MUST be reviewed and approved by Kelley Blue Book. Please send final copies for approval to:
